  2. END USER LICENSE AGREEMENT 
  3.  
  4. Software License Agreement for Webroot Software, 
  5. Inc. 
  6.  
  7. Important: please read the terms and 
  8. conditions of this license agreement 
  9. carefully before using the software.
  10.  
  11.  
  12. The software has two versions, and "you or your"
  13.  is defined by the version:
  14.  
  15. (i)The Free, or Unsubscribed, version of the software
  16. is provided for individual use, educational institution 
  17. use, and not-for profit use only (referenced below as 
  18. "you or your").  This includes your individual home
  19.  use or for internal use for the benefit of a 
  20. not-for-profit charitable entity (as set forth in U.S.C., 
  21. Titleá26, Section 501(c)(3) (excluding
  22.  governmental entities)), and in no event for the 
  23. benefit of a company, for-profit entity, governmental
  24. entity.

  26. (ii)The Paid For, or Full, or Subscribed, version of 
  27. the software is provided for individual use, company 
  28. use, for-profit entity use, or governmental entity use 
  29. (referenced below as "you or your").

  32. WEBROOT SOFTWARE, INC. IS WILLING TO LICENSE
  33. THE SOFTWARE TO YOU ONLY ON THE CONDITION 
  34. THAT YOU ACCEPT ALL OF THE TERMS OF THIS 
  35. LICENSE AGREEMENT. THIS IS A LEGAL AND 
  36. ENFORCEABLE CONTRACT BETWEEN YOU AND 
  37. WEBROOT SOFTWARE. BY OPENING THIS PACKAGE, 
  38. BREAKING THE SEAL, CLICKING ON THE 
  39. "I AGREE" BUTTON OR OTHERWISE INDICATING 
  40. ASSENT ELECTRONICALLY, OR LOADING THE 
  41. SOFTWARE, YOU AGREE TO THE TERMS AND 
  42. CONDITIONS OF THIS AGREEMENT. IF YOU DO 
  43. NOT AGREE TO THESE TERMS AND CONDITIONS, 
  44. CLICK ON THE "CANCEL" BUTTON, OR OTHERWISE 
  45. INDICATE REFUSAL, MAKE NO FURTHER USE OF 
  46. THE SOFTWARE, AND RETURN THE FULL PRODUCT 
  47. WITH PROOF OF PURCHASE TO THE DEALER FROM 
  48. WHOM IT WAS ACQUIRED WITHIN SIXTY (60) 
  49. DAYS OF PURCHASE, AND YOUR MONEY WILL BE 
  50. REFUNDED.

  52. LICENSE AND WARRANTY:
  53. The software that accompanies this license is 
  54. the property of Webroot Software, Inc. 
  55. ("Webroot") or its licensors and is protected 
  56. by copyright law. While Webroot continues to 
  57. own the Software, you will have certain rights 
  58. to use the Software after your acceptance of 
  59. this license. This license governs any 
  60. releases, revisions, or enhancements to the 
  61. Software that Webroot may furnish to you. 
  62. Except as may be modified by a Webroot site 
  63. license certificate, which accompanies, 
  64. precedes, or follows this license, your 
  65. rights and obligations with respect to the 
  66. use of this Software are as follows:

  68. IF YOU AGREE TO THE PRODUCT DISCLAIMER AND 
  69. LICENSE YOU MAY:
  70. (i) install and use one copy of the Software 
  71. on a single computer. If a Site License 
  72. accompanies, precedes, or follows this license, 
  73. you may make the number of copies of the 
  74. Software licensed to you by Webroot as provided 
  75. in your Site License; 
  76. (ii) access customer support as provided for 
  77. (and for the term outlined) in your original 
  78. purchase agreement or site license.
  79.  
  80. YOU MAY NOT:
  81. (i)sublicense, rent or lease any portion of 
  82. the Software; reverse engineer, decompile, 
  83. disassemble, modify, translate, make any 
  84. attempt to discover the source code of the 
  85. Software, or create derivative works from 
  86. the Software;
  87. (ii)copy the printed documentation which 
  88. accompanies the Software;
  89. (iii)use the Software in any manner not 
  90. authorized by this license.

  92. SOFTWARE UPDATES
  93. From time to time, Webroot may make available 
  94. updates to the Software. You may download and 
  95. install those updates to the Software that 
  96. are released by Webroot for which you have
  97. purchased a subscription or maintenance
  98. agreement.  Your purchase must be recorded 
  99. with Webroot Software either through product 
  100. registration or a direct purchase through 
  101. www.webroot.com to be notified of software 
  102. updates. All updates to the Software are 
  103. governed by this Agreement, unless other 
  104. license terms are provided with the update.
  105.  
  106. CONTENT UPDATES
  107. Certain Webroot Software products utilize 
  108. content that is updated from time to time 
  109. (spyware products utilize updated spyware 
  110. definitions; content filtering products may 
  111. utilize updated URL lists; firewall products 
  112. utilize updated firewall rules; collectively, 
  113. these are referred to as "Content Updates"). 
  114. You may obtain Content Updates for any period 
  115. for which you have purchased a subscription 
  116. for Content Updates for the Software 
  117. (including any subscription included with 
  118. your original purchase of the Software), 
  119. entered into a maintenance agreement that 
  120. includes Content Updates, or otherwise 
  121. separately acquired the right to obtain 
  122. Content Updates. This license does not 
  123. otherwise permit you to obtain and use 
  124. Content Updates.

  126. DISCLAIMER OF DAMAGES:
  127. Some states and countries, including member 
  128. countries of the European economic area, do 
  129. not allow the limitation or exclusion of 
  130. liability for incidental or consequential 
  131. damages so the below limitation or exclusion 
  132. may not apply to you. To the maximum extent 
  133. permitted by applicable law and regardless of 
  134. whether any remedy set forth herein fails of 
  135. its essential purpose, in no event will 
  136. Webroot or its licensors be liable to you 
  137. for any special, consequential, indirect or 
  138. similar damages, including any lost profits 
  139. or lost data arising out of the use or 
  140. inability to use the software even if 
  141. Webroot has been advised of the possibility 
  142. of such damages. In no case shall WebrootÆs 
  143. or its licensorsÆ liability exceed the 
  144. purchase price for the software. The 
  145. disclaimers and limitations set forth above 
  146. will apply regardless of whether you accept 
  147. the Software.
  148.  
  149. RESERVATION OF RIGHTS
  150. U.S. Government Restricted Rights: RESTRICTED 
  151. RIGHTS LEGEND. All Webroot products and 
  152. documentation are commercial in nature. The 
  153. software and software documentation are 
  154. "Commercial Items", as that term is defined 
  155. in 48 C.F.R. section 2.101, consisting of 
  156. "Commercial Computer Software" and 
  157. "Commercial Computer Software Documentation", 
  158. as such terms are defined in 48 C.F.R. 
  159. section 252.227-7014(a)(5) and 48 C.F.R. 
  160. section 252.227-7014(a)(1), and used in 
  161. 48 C.F.R. section 12.212 and 48 C.F.R. 
  162. section 227.7202, as applicable. 
  163. Consistent with 48 C.F.R. section 12.212, 
  164. 48 C.F.R. section 252.227-7015, 48 C.F.R. 
  165. section 227.7202 through 227.7202-4, 
  166. 48 C.F.R. section 52.227-14, and other 
  167. relevant sections of the Code of Federal 
  168. Regulations, as applicable, WebrootÆs 
  169. computer software and computer software 
  170. documentation are licensed to United States 
  171. Government end users with only those rights 
  172. as granted to all other end users, 
  173. according to the terms and conditions 
  174. contained in this license agreement.

  179. GENERAL:
  180. This Agreement is governed by the laws of the 
  181. State of Colorado.  This Agreement and any 
  182. related license addendum or written document 
  183. signed by both you and Webroot Software. Inc. 
  184. which accompanies this license is the entire 
  185. agreement between You and Webroot relating 
  186. to the Software and: (i) supersedes all 
  187. prior or contemporaneous oral or written 
  188. communications, proposals and representations 
  189. with respect to its subject matter; and (ii) 
  190. prevails over any conflicting or additional 
  191. terms of any quote, order, acknowledgment or 
  192. similar communications between the parties. 
  193. This Agreement shall terminate upon Your 
  194. breach of any term contained herein and You 
  195. shall cease use of and destroy all copies 
  196. of the Software. The disclaimers of 
  197. warranties and damages and limitations on 
  198. liability shall survive termination.
